AI Builder Program Commission Rules

1. Scope

These Rules apply to AI Builders that have been approved by OKX to participate in the AI Builder Program and whose transactions are attributed through a valid AI Builder Code or another method recognized by OKX.

Note: For the purposes of these Rules, “Commission” means the commission paid by OKX to an AI Builder, calculated based on the net trading fees generated from Eligible Transactions and the commission rate applicable to that AI Builder.

2. General Principles

Except for the special VIP fee tier rule set out in Section 4, the following commission-related matters under the OKX AI Builder Program will be governed by the applicable general OKX Broker rules:

• Supported products and the scope of transactions eligible for Commission;

• AI Builder Code usage requirements;

• Commission rates and tier standards;

• Commission calculation methodology;

• Settlement cycle, settlement time, settlement currency, and settlement account;

• Commission treatment where an Affiliate and an AI Builder are both involved; and

• Other circumstances in which no Commission is payable.

3. Eligible Transactions

A transaction will be eligible for AI Builder Commission only if all of the following conditions are met:

1. The transaction is submitted through an integration method approved for the AI Builder;

2. A valid AI Builder Code is correctly included when the order is placed;

3. The transaction is executed on OKX and successfully attributed by the OKX system to the relevant AI Builder;

4. The transaction generates net trading fees that are eligible for Commission calculation; and

5. The transaction and the relevant account comply with the applicable general OKX Broker rules, these Rules, and the applicable AI Builder agreement.

Transactions conducted through the OKX App, the OKX website, or any other channel that are not attributed by the OKX system to the relevant AI Builder will not be included in the Commission payable to that AI Builder.

4. Special VIP Fee Tier Rule

Regardless of whether a transaction satisfies any other eligibility requirements, transactions conducted through an AI Builder by users whose fee tier is VIP 4 or above will not be included in the calculation of AI Builder Commission.The methodology and timing used to identify and determine a user’s fee tier will be consistent with the general OKX Broker rules and the OKX commission settlement system. OKX system records will prevail.

For the avoidance of doubt, for transactions conducted through an AI Builder, the threshold under the general OKX Broker rules—under which users at fee tier VIP 7 or above, as determined by trading-volume tier, do not qualify for Broker commission—is replaced with VIP 4 or above, as determined by trading-volume tier. Except for this difference, no other provision of the general OKX Broker rules is modified.This Section constitutes a special rule for the AI Builder Program. If this Section conflicts with the VIP fee tier threshold under the general OKX Broker rules, this Section will prevail.

5. Commission Calculation and Settlement

1. Commission amount: Net trading fees generated from Eligible Transactions × the commission rate applicable to the AI Builder. Please refer to your AI Builder Dashboard for the specific commission rate.

2. Commission rate: Determined based on the AI Builder’s approved tier, applicable agreement, or applicable OKX standards.

3. Settlement cycle: Commission will generally be settled hourly on a T+1 basis in accordance with the general OKX Broker rules. Settlement may be delayed or adjusted due to system maintenance, data reconciliation, risk reviews, or other exceptional circumstances.

4. Settlement currency and account: Commission will generally be distributed in USDT to the settlement account linked to the relevant Builder Code.

5. Final determination: Transaction attribution, net trading fees, user fee tiers, commission rates, and Commission amounts will be subject to OKX system records and actual settlement results.

6. Affiliate and AI Builder Involvement

If a user registers through an Affiliate invitation and also conducts transactions through an AI Builder, the Commission attributable to the Affiliate and the AI Builder will be calculated and settled separately in accordance with their respective tiers and applicable rules. OKX system records will prevail.

7. Other Circumstances Where No Commission Is Payable

In addition to transactions conducted by users at VIP 4 or above, the following transactions will not be included in AI Builder Commission:

1. Transactions where the counterparty is not on OKX and no Commission is therefore available for allocation to the AI Builder;

2. Proprietary transactions of the AI Builder, or other transactions treated as proprietary under the applicable agreement;

3. Transactions by users who are subject to a special fee rate, including participation in a market maker program, a special fee program, or another preferential fee arrangement;

4. Transactions where the user applies a commission card or another fee deduction method that is not eligible for Broker commission;

5. Transactions conducted through managed trading sub-accounts;

6. Transactions not submitted through an integration method approved for the AI Builder, or transactions for which the Builder Code is missing, incorrect, or unsuccessfully attributed;

7. Transactions that are not executed, do not generate net trading fees, or otherwise cease to have a basis for Commission due to cancellation, reversal, refund, or a similar event; and

8. Any other transactions that are ineligible for Commission under the applicable OKX Broker rules, the AI Builder agreement, OKX risk control requirements, or applicable laws and regulations.

8. Priority and Amendments

1. With respect to the VIP fee tier threshold for Commission eligibility, Section 4 of these Rules will prevail over the general OKX Broker rules.

2. Except for the special VIP fee tier rule, all other commission-related matters under the AI Builder Program will be governed by the general OKX Broker rules then in effect.

3. If the general OKX Broker rules are updated, the corresponding general rules applicable to the AI Builder Program will be updated accordingly, unless otherwise specified by OKX.

4. OKX may amend these Rules based on business, risk control, compliance, or regulatory requirements and will provide notice in accordance with the applicable agreement or by announcement.

5. Any matters not addressed in these Rules will be governed by the applicable AI Builder agreement, the general OKX Broker rules, and OKX system records.
