CARDHOLDER AGREEMENT

This OKX Card Cardholder Agreement (this "Agreement"), including the Important Disclosures above, Exhibit A (Arbitration Clause), Exhibit B (Billing Error Rights), Exhibit C (State Notices), your card application, and the applicable Privacy Notice, governs your Mastercard® charge card ("Card") issued by WebBank, a Utah state-chartered bank ("Bank", "we", "us", "our") and the associated Card account with us ("Account"). "You", "your", and "Cardholder" mean the person who applied for and accepted this Account. OKX INC. ("OKX") is the program manager and servicer of your Account, acting on our behalf, receiving payments, and enforcing our rights under this Agreement.

EXHIBIT A CONTAINS A BINDING ARBITRATION CLAUSE AND CLASS ACTION WAIVER. UNLESS YOU ARE A COVERED BORROWER UNDER THE MILITARY LENDING ACT, OR YOU TIMELY REJECT THE ARBITRATION CLAUSE AS PROVIDED IN EXHIBIT A, SECTION A.3, YOU WILL BE REQUIRED TO WAIVE YOUR RIGHT TO A JURY TRIAL AND RESOLVE MOST DISPUTES ARISING UNDER THIS AGREEMENT THROUGH BINDING INDIVIDUAL ARBITRATION. YOU WILL ALSO WAIVE YOUR RIGHT TO BRING OR PARTICIPATE IN ANY CLASS ACTION, COLLECTIVE ACTION, OR REPRESENTATIVE PROCEEDING. PLEASE READ EXHIBIT A CAREFULLY BEFORE ACCEPTING THIS AGREEMENT.

1. ACCEPTING THIS AGREEMENT

This Agreement becomes effective when you receive your Card (including any virtual card delivered via the OKX application) or first use your Account, whichever is earlier. By activating or using the Card, or completing your application, you agree to be bound by this entire Agreement.

2. DEFINITIONS

"Auto Repay Track" means the repayment method under which outstanding balances are automatically repaid by liquidation of Encumbered Supported Stablecoins one Business Day after settlement of a Card transaction, per Section 11.

"Available Credit" means the value of unencumbered Supported Stablecoins in your Pay Wallet at the time of authorization, subject to any Maximum Credit Limit, less any outstanding Account balance.

"Business Day" means any day other than a Saturday, Sunday, or federal holiday.

"Encumbrance" / "Encumbered" means a hold placed on Supported Stablecoins in your Pay Wallet equal to the authorized amount of a Card transaction, restricting those stablecoins from use until the obligation is satisfied.

"Maximum Credit Limit" means a credit limit set by us that is not tied to the value of unencumbered Supported Stablecoins in your Pay Wallet at the time of authorization, and which may be less than the value of unencumbered Supported Stablecoins in your Pay Wallet at the time of authorization. We may set a Maximum Credit Limit at any time in our discretion.

"OKX Pay Wallet" / "Pay Wallet" means the non-custodial digital asset wallet provided by OKX, linked to your Account for the Card program.

"Pay with Fiat Track" means the repayment method under which balances are repaid by fiat or other permitted assets, per Section 12.

"Supported Stablecoins" means the stablecoins used to determine your Available Credit. The list of Supported Stablecoins is available here. The list may be updated by OKX from time to time at OKX’s sole discretion. Your continued use of the Card constitutes acceptance of any updated list.

3. NATURE OF THE CARD AND CREDIT FACILITY

3.1. The Card is a Mastercard®-branded secured charge card. Your Available Credit is determined by the value of unencumbered Supported Stablecoins in your Pay Wallet at the time of each transaction authorization, subject to any Maximum Credit Limit we may set. The Card is not a debit card, prepaid card, or stored-value card. It extends credit that must be repaid under this Agreement.

3.2. Card Form. Virtual card only.

3.3. No Cash Access. The Card may not be used for ATM withdrawals, cash advances, or cash equivalents.

4. OKX PAY WALLET AND AUTHORIZATION

4.1. To use the Card, you must maintain an active Pay Wallet linked to your Account. By accepting this Agreement, you authorize us, through OKX as our service provider to:

  • access and review the balance of Supported Stablecoins in your Pay Wallet for purposes of transaction authorization;

  • place an Encumbrance on Supported Stablecoins equal to each authorized Card transaction amount; and

  • liquidate Encumbered Supported Stablecoins to satisfy Card obligations pursuant to the Auto Repay Track or forced liquidation under Section 12.

For avoidance of doubt, Pay Wallet is provided by OKX, not the Bank. You acknowledge that OKX, not the Bank, is solely responsible and liable for any issues related to the Pay Wallet.

4.2. No Restriction on Unencumbered Assets. OKX has no right to restrict your use, transfer, or withdrawal of unencumbered assets from your Pay Wallet. You acknowledge that moving unencumbered stablecoins out of your Pay Wallet will reduce your Available Credit accordingly.

5. CREDIT LIMIT AND AVAILABLE CREDIT

5.1. Your "Credit Limit" is variable and determined by the value of unencumbered Supported Stablecoins in your Pay Wallet at the time of each transaction authorization, subject to any Maximum Credit Limit we may set. It fluctuates in real time as you deposit or withdraw stablecoins.

5.2. Maximum Credit Limit. We may set a Maximum Credit Limit at any time. Your Available Credit will not exceed this amount even if the value of unencumbered Supported Stablecoins in your Pay Wallet is higher than the Maximum Credit Limit. We can adjust your Maximum Credit Limit at any time.

5.3. Available Credit Formula. Available Credit is equal to the lesser of: (a) the value of unencumbered Supported Stablecoins in your Pay Wallet, or (b) any Maximum Credit Limit minus outstanding Account balance (including authorized but unsettled transactions).

5.4. Stablecoin Valuation. Supported Stablecoins are valued at the prevailing market rate applied by OKX at the time of authorization. Due to market conditions and potential depegging, the USD equivalent of your Pay Wallet balance may differ from its nominal value. See Section 14.

6. TRANSACTION AUTHORIZATION AND ENCUMBRANCE

6.1. When you initiate a Card transaction, we check whether you have sufficient Available Credit. If sufficient Available Credit exists:

  • the transaction is authorized and submitted to the Mastercard® network for settlement;

  • we place an Encumbrance on Supported Stablecoins in your Pay Wallet equal to the transaction value (converted to USD by OKX at the prevailing rate); and

  • those Encumbered Supported Stablecoins remain unavailable until the balance on your Account is fully satisfied.

6.2. Pre-Authorization Holds. For merchants such as hotels, car rentals, and fuel stations, the authorized amount may exceed the final settled amount. This will result in excess Encumbrances and a lower Available Credit for several days. Excess Encumbrances will be released promptly after final settlement.

6.3. Transaction Limits. We may set per transaction or daily transaction limits on the use of your Card.

6.4. Decline. We may decline a transaction for any reason, including but not limited to if: (a) Available Credit is insufficient; (b) a transaction limit would be exceeded; (c) your Account is suspended or in default; (d) the transaction is a Prohibited Use under Section 15; (e) we suspect fraud, unlawful, or unauthorized use; or (e) there is any indication of an increased risk related to the transaction.

7. SECURITY INTEREST

7.1. Grant of Security Interest. To secure your repayment obligation for each Card transaction, you hereby grant, assign, and pledge to the Bank (and to any assignee) a first-priority security interest in: (a) all Supported Stablecoins held in your Pay Wallet (identified by its unique on-chain address associated with your Account) that are now or hereinafter Encumbered pursuant to each Card transaction authorization; and (b) all proceeds of the foregoing (collectively, the "Collateral"). This security interest does not extend to any unencumbered assets in your Pay Wallet.

7.2. Authorization-Based Encumbrance. Each Card authorization increases the aggregate amount of Supported Stablecoins subject to the Encumbrance under the applicable collateral calculation. Because Supported Stablecoins are fungible, no particular units are allocated to any transaction. The Encumbrance secures only Card Account obligations.

7.3. Priority and Perfection. You represent that the Collateral is free of any other lien, claim, or encumbrance at the time of Encumbrance. The security interest is perfected through the smart contract Encumbrance mechanism described in this Agreement, which constitutes the agreed method of establishing control over the Collateral under applicable law. The Bank and its assignees will have first priority security interest in the Collateral with respect to your repayment obligation under this Agreement, over any and all other security interest in the Collateral including any security interest under the OKX Pay Wallet Terms of Service.

7.4. Waivers. To the fullest extent permitted by applicable law: (a) Marshaling Waiver — you waive any right to require the Bank (or any assignee) to proceed against or exhaust any other collateral, pursue any other remedy, or apply any other security before enforcing rights against the Collateral; and (b) Notice Waiver — you waive any right to prior notice before liquidation of Encumbered Supported Stablecoins upon the occurrence of a default or forced liquidation event under this Agreement.

7.5. Release. The security interest in the Collateral for a given transaction is automatically released upon full satisfaction of the corresponding payment obligation under either repayment method you elect (see Sections 9, 10 and 11 below).

7.6. Survival in Bankruptcy. This security interest and all Encumbrances survive any bankruptcy, insolvency, or reorganization proceeding involving you to the fullest extent permitted by applicable law, including applicable provisions of Title 11 of the United States Code.

7.7. Document Hierarchy. In the event of any conflict between this Agreement and the OKX Pay Wallet Terms of Service regarding the security interest, Encumbrance mechanics, or Collateral, the terms of this Agreement govern with respect to your Account.

8. PROMISE TO PAY

You promise to repay all amounts charged to your Account in USD, including purchases, interest charges, fees, and any other amounts incurred under this Agreement. Your repayment obligation is not contingent on the value or performance of any Supported Stablecoins. If Encumbered Supported Stablecoins are insufficient to cover your outstanding balance (for example, due to a depegging event), you remain personally liable for the full amount owed.

9. ELECTION OF REPAYMENT METHOD

9.1. At Account opening, you must elect one of the following repayment methods. You may change your election at any time through the OKX application.

  • “Auto Repay” Track. Outstanding balances are automatically repaid by liquidation of Encumbered Supported Stablecoins one Business Day after settlement of each transaction. See Section 10.

  • “Pay with Fiat” Track. Outstanding balances accrue over a 28-day billing cycle and are repaid by fiat or other permitted assets. Forced liquidation of Collateral occurs if payment is not received by the applicable deadline. See Section 11.

9.2. Changing Your Election. Changes to your election of repayment method under Section 9.1 will take effect as follows:

  • A change from “Auto Repay” to “Pay with Fiat” will take effect once it is processed by us, but in no event later than the start of the next billing cycle.

  • A change from “Pay with Fiat” to “Auto Repay” will take effect at the start of the next billing cycle.

10. AUTO REPAY TRACK REPAYMENT

10.1. Billing Cycle. Under the Auto Repay Track, we will issue a statement after the close of each 28-day billing cycle as set forth in Section 15.

10.2. Automatic Liquidation. If you elect the Auto Repay Track, following settlement of each Card transaction, OKX will automatically liquidate the Encumbered Supported Stablecoins in your Pay Wallet one Business Day after settlement of each Card transaction in an amount equal to the settled transaction amount (including applicable fees).

10.3. Liquidation Rate. Liquidation occurs at the prevailing market rate applied by OKX at the time of liquidation. OKX does not guarantee any specific rate. Proceeds may differ from the nominal stablecoin value due to market conditions or depegging.

10.4. No Interest on Auto Repay Track. No interest charges apply to your Account under the Auto Repay Track.

10.5. Shortfall After Automatic Liquidation. If liquidation proceeds are insufficient to satisfy the outstanding balance in full, you remain personally liable for the shortfall and we may exercise all remedies available under Section 18.

11. PAY WITH FIAT TRACK REPAYMENT

11.1. Billing Cycle. Under the Pay with Fiat Track, outstanding balances accrue over a 28-day billing cycle. After each cycle closes, we will issue a statement as set forth in Section 15.

11.2. Payment Due Date. Your Payment Due Date is at the close of each 28-day billing cycle, and payment must be made no later than 21 days after the Payment Due Date.

11.3. Payment Method. You must pay by USD fiat transfer, or by any other method accepted by us from time to time, per instructions in the OKX application.

11.4. Release of Encumbrance Following Payment. Once you have paid the entire outstanding balance of your Card using the Pay with Fiat Track, OKX will release the Encumbrance on Supported Stablecoins in your Pay Wallet.

11.5. Forced Liquidation. If you have not paid the entire outstanding balance of your Card by the end of the Payment Period, we will automatically liquidate the Encumbered Supported Stablecoins in your Pay Wallet to satisfy any amounts outstanding, including principal and any applicable fees.

11.6. Liquidation Rate. Forced liquidation occurs at the prevailing market rate at the time of liquidation. Neither Bank nor OKX is liable for losses arising from liquidation at a depressed stablecoin value.

11.7. No Interest on Pay with Fiat Track. No interest charges apply to your Account under the Pay with Fiat Track.

11.8. Shortfall After Forced Liquidation. If liquidation proceeds are insufficient to satisfy the outstanding balance in full, you remain personally liable for the shortfall and we may exercise all remedies available under Section 18.

12. FEES

All fees will be disclosed to you on the OKX application. The following fees apply, subject to applicable law:

  • Annual Fee: None.

  • Purchase Fee: None.

  • Foreign Transaction Fee: None.

  • Late Payment Fee: None.

  • Returned Payment Fee: None.

We will give advance notice of any new or increased fees as required by applicable law.

13. STABLECOIN AND DIGITAL ASSET RISK DISCLOSURE

IMPORTANT — PLEASE READ CAREFULLY. THE CARD PROGRAM INVOLVES STABLECOINS, WHICH ARE DIGITAL ASSETS. YOU ACKNOWLEDGE AND ACCEPT THE FOLLOWING RISKS:

  • Issuance. Neither OKX nor the Bank is an issuer of any of the Supported Stablecoins. They do not hold reserves for any Supported Stablecoins. In addition, a Supported Stablecoin issuer has the potential to experience significant outages, downtime and processing delays, and may have a higher level of operational risk than traditional financial institutions.

  • Depegging Risk. Supported Stablecoins are designed to maintain a stable value (typically pegged to USD), but may lose their peg. If Encumbered Supported Stablecoins depeg between authorization and liquidation, proceeds from liquidation may be insufficient to cover your outstanding balance. You remain personally liable for any shortfall.

  • Market Volatility. The value of Supported Stablecoins may fluctuate due to market conditions, liquidity constraints, and other factors outside OKX's and the Bank's control.

  • Liquidation at Depressed Values. Automatic or forced liquidation may occur when Supported Stablecoin values are depressed. Neither OKX nor the Bank is liable for losses resulting from liquidation at unfavorable rates.

  • No FDIC Insurance. Supported Stablecoins held in your Pay Wallet are not bank deposits and are not insured by the FDIC or any deposit protection scheme.

  • Blockchain and Smart Contract Risk. Encumbrance and liquidation mechanics depend on blockchain infrastructure. Neither OKX nor the Bank is liable for delays caused by blockchain network congestion, forks, outages, or smart contract failures outside its reasonable control.

  • Tax Considerations. Liquidation of Supported Stablecoins to satisfy Card obligations may constitute a disposal of a capital asset and may give rise to U.S. federal and state tax obligations (including capital gains tax). You are solely responsible for determining and reporting any such tax liability. Neither OKX nor the Bank provides tax advice.

14. PROHIBITED USES

You agree to use the Card and Account only for lawful purposes. The following uses are prohibited:

  • any illegal purpose;

  • transactions involving persons, entities, or jurisdictions subject to OFAC or other applicable sanctions;

  • purchase of cryptocurrency or digital assets using the Card;

  • ATM withdrawals or cash advances;

  • payments on any credit account;

  • business or commercial use;

  • any use that violates this Agreement, or applicable law.

Violation of this Section 14 constitutes a default under this Agreement. We may block, decline, or reverse Card transactions and/or terminate your Account in the event of a default. You remain liable for all amounts related to prohibited transactions.

15. STATEMENTS

We will provide a statement electronically after each 28-day billing cycle. Transaction confirmations will be provided through the OKX application following each settled transaction.

16. SUSPENSION OR TERMINATION

Subject to applicable law, we may suspend, restrict, close, or cancel your Account or Card, with or without cause and with or without prior notice, including if:

  • you breach any term of this Agreement;

  • we suspect fraud or unauthorized use;

  • your Pay Wallet is closed, suspended, or no longer linked to your Account;

  • you no longer meet our eligibility requirements;

  • we are required to act by applicable law, regulation, court order, or regulatory direction; or

  • the Card program is discontinued.

Termination does not affect your obligation to repay all outstanding amounts. Upon termination under this section, all outstanding balances are immediately due and payable.

17. EVENTS OF DEFAULT

Your Account will be in default if:

  • Forced Liquidation is triggered and proceeds are insufficient to satisfy the full outstanding balance;

  • any repayment you make is dishonored or reversed;

  • your OKX user account is no longer in good standing, is suspended, or is terminated;

  • your Pay Wallet is closed, inaccessible, or unlinked from your Account;

  • you die or are declared legally or mentally incompetent;

  • a bankruptcy petition is filed by or against you;

  • you become insolvent or unable to pay your debts as they become due;

  • you provide false or misleading information; or

  • you breach any other term of this Agreement.

18. REMEDIES

In the event of default, subject to applicable law and required notice, we may:

  • declare all outstanding amounts immediately due and payable;

  • liquidate all Encumbered Supported Stablecoins in your Pay Wallet and apply proceeds to your outstanding balance;

  • suspend or terminate your Account and Card;

  • reduce your Available Credit to zero; and

  • commence collection proceedings and charge you for court costs and reasonable attorneys' fees.

19. DELAY IN ENFORCEMENT

We may delay or waive enforcing any right under this Agreement at any time without losing or forfeiting such rights. Acceptance of late payments or payments marked 'payment in full' does not waive any of our rights under this Agreement.

20. COMMUNICATIONS AND CALL RECORDING

To the extent permitted by applicable law, you authorize us and OKX and each of our respective affiliates, agents, assigns, and service providers (collectively, "Messaging Parties") to use automated dialing systems, prerecorded or artificial voice messages, text messaging systems, and automated email systems to contact you regarding this Agreement or your Account at any telephone number(s) or email address(es) you provide. EXHIBIT A — ARBITRATION CLAUSE AND CLASS ACTION WAIVER

THIS EXHIBIT A CONTAINS A BINDING ARBITRATION CLAUSE AND CLASS ACTION WAIVER. UNLESS YOU ARE A COVERED BORROWER UNDER THE MILITARY LENDING ACT, OR YOU TIMELY REJECT THIS CLAUSE AS PROVIDED IN SECTION A.4, IT WILL REQUIRE YOU TO RESOLVE MOST CLAIMS THROUGH INDIVIDUAL BINDING ARBITRATION RATHER THAN IN COURT, AND YOU WILL WAIVE YOUR RIGHT TO A JURY TRIAL AND TO PARTICIPATE IN ANY CLASS, COLLECTIVE, OR REPRESENTATIVE PROCEEDING.

A.1 Definitions. Certain words have specific meanings as they are used in this Arbitration Clause and Class Action Waiver (“Arbitration Clause”):

  • “Claim” means any unresolved claim, dispute, or controversy between you, on the one hand, and us (as defined below), on the other hand. Claims includes any unresolved claim, dispute, or controversy arising from or relating to (i) the application for and origination of your Account, (ii) your Account; (iii) your Card, (iv) this Agreement, (v) any servicing of your Account, (vi) advertisements, promotions or statements related to this Agreement, your Account, your Card or any products or services provided by us, (vii) any goods or services you purchase using your Account or Card, (viii) credit bureau reporting or debt collection on or related to your Account, (ix) your access to and use of your Account or Card from or using any products or services provided by us, (x) your relationships with us, or (xi) any products or services provided by us. Claim also includes any unresolved claim, dispute or controversy about the applicability, validity or enforcement of this Arbitration Clause. Claim does NOT include a claim, dispute or controversy that falls within the jurisdiction of a small claims court, so long as the controversy remains in that court and no claim is asserted on a class, representative, or collective basis. With that exception, the term “Claim” is to be given the broadest possible interpretation that is enforceable.

  • “OKX-Related Party” means OKX INC. and its affiliates, officers, directors, employees, agents, and successors.

  • “We,” “us,” and “our,” solely for purposes of this Arbitration Clause, means (i) WebBank and its affiliates, officers, directors, employees, agents, and successors; (ii) the OKX-Related Parties as defined above; and/or (iii) any third party providing any goods and/or services in connection with this Agreement, if you name that third party and us as defendants in a single proceeding. All of the foregoing persons and entities are third-party beneficiaries entitled to elect to enforce this Arbitration Clause.

A.2 Agreement to Arbitrate. Except as expressly provided below, you agree that all Claims shall be resolved exclusively through binding arbitration on an individual basis, and shall be governed by the Federal Arbitration Act ("FAA"), 9 U.S.C. § 1 et seq. If there is a dispute about whether this Arbitration Clause can be enforced or applies to a Claim, the arbitrator will decide that issue.

A.3 Exclusions. This Arbitration Clause does not require arbitration of: (a) small claims actions brought on an individual basis within the scope of small claims court jurisdiction that remain in small claims court; (b) claims by you or us for equitable relief from infringement or other misuse of intellectual property rights (such as trademarks, trade secrets, copyrights, and patents); (c) a request for the remedy of public injunctive relief, which shall be stayed pending the outcome of any arbitrable Claims pursuant to FAA § 3; and (d) Claims that may not be subject to arbitration as a matter of generally applicable law not preempted by the FAA.

A.4 Opt-Out Right. You may reject this Arbitration Clause by sending written notice to the notice address provided in Clause 22 within 30 days of account opening. Your notice must include your name, account number or last four digits of your Card, mailing address, and a statement that you are rejecting this Arbitration Clause. Rejection of this Arbitration Clause does not affect any other provision of this Agreement or your obligations under it.

A.5 Pre-Dispute Notice. Before initiating any arbitration or court proceeding, the party asserting a Claim must: (a) provide written notice to the other party (a "Pre-Dispute Notice") at least 30 days before initiating arbitration or any other legal proceeding; (b) include in the Pre-Dispute Notice: the date; your name and Account number; a brief description of the Claim and the relief sought; and (c) send the notice to the notice address provided in Clause 22. Notices to you will be sent to the most recent address we have on file. All offers, conduct, and statements made during pre-dispute resolution are confidential and inadmissible in any subsequent proceeding.

A.6 Administrator and Rules. Arbitration will be administered by the American Arbitration Association ("AAA") in accordance with its Consumer Arbitration Rules ("AAA Rules") then in effect, available at www.adr.org or 1-800-778-7879, except as modified by this Clause. If the AAA is unavailable, the parties shall cooperate in good faith to select a mutually acceptable alternative forum; if they cannot agree, either party may ask a court to appoint an arbitrator pursuant to FAA § 5.

A.7 Waiver of Jury Trial.

YOU AND WE AGREE TO WAIVE ANY RIGHT TO SUE IN COURT AND HAVE A TRIAL IN FRONT OF A JUDGE OR JURY. YOU AND WE ARE INSTEAD ELECTING THAT ALL CLAIMS BE RESOLVED BY ARBITRATION UNDER THIS CLAUSE, EXCEPT AS OTHERWISE SPECIFIED HEREIN.A.8 Class Action and Non-Individualized Relief Waiver. YOU AND WE AGREE THAT EACH PARTY MAY BRING CLAIMS AGAINST THE OTHER ONLY ON AN INDIVIDUAL BASIS AND NOT AS A PLAINTIFF, PRIVATE ATTORNEY GENERAL, CLASS REPRESENTATIVE, OR CLASS MEMBER IN ANY PURPORTED CLASS ACTION, COLLECTIVE ACTION, OR REPRESENTATIVE PROCEEDING, AND FURTHER AGREE TO WAIVE THE RIGHT TO HAVE ANY CLAIM BROUGHT, HEARD, ADMINISTERED, RESOLVED, OR ARBITRATED ON A CLASS, COLLECTIVE, REPRESENTATIVE, OR MASS ACTION BASIS. UNLESS YOU AND WE AGREE OTHERWISE OR SECTION A.9 (BATCH ARBITRATION) IS TRIGGERED, CLAIMS OF MORE THAN ONE PERSON CANNOT BE ARBITRATED OR CONSOLIDATED WITH THOSE OF ANY OTHER PERSON. THE ARBITRATOR SHALL HAVE NO AUTHORITY TO RESOLVE ANY CLAIM ON A CLASS, COLLECTIVE, OR REPRESENTATIVE BASIS, OR TO ISSUE ANY RELIEF OTHER THAN ON AN INDIVIDUAL BASIS AND ONLY TO THE EXTENT NECESSARY TO PROVIDE RELIEF WARRANTED BY THE INDIVIDUAL CLAIM.

Notwithstanding the foregoing, disputes relating to the interpretation, applicability, validity, or enforceability of this Section A.8 shall be resolved only by a court of competent jurisdiction and not by an arbitrator. If a court determines by final, non-appealable decision that the limitations of this Section A.8 are invalid or unenforceable as to a particular Claim or request for relief (such as a request for public injunctive relief), that particular Claim or requested relief may be litigated in court pursuant to Section 29 of this Agreement, while all other Claims remain subject to arbitration. Nothing in this Section prevents you or us from participating in a class-wide settlement of Claims.

A.9 Hearing and Procedure. Subject to the AAA Rules, the arbitrator may direct a limited and reasonable exchange of information between the parties, consistent with the expedited and cost-effective nature of arbitration. The arbitration will be conducted in the county where you reside; if AAA arbitration is unavailable in that county, the nearest available AAA location applies. Claims with an amount in controversy of $25,000 or less (exclusive of attorneys' fees and interest) will be conducted solely on the basis of documents submitted to the arbitrator. For Claims exceeding $25,000, the right to a hearing will be determined by the AAA Rules. The arbitrator will decide the substance of all Claims in accordance with applicable law, and shall issue a written, reasoned award describing the essential findings and conclusions on which it is based. The arbitrator's award is final and binding, and judgment may be entered in any court having jurisdiction.

A.10 Batch Arbitration. To increase efficiency, if 100 or more individual Claims of a substantially similar nature are filed against us by or with the assistance of the same law firm, group of law firms, or organizations within a 180-day period, the AAA shall: (a) administer the Claims in batches of no more than 100 per batch; (b) appoint one arbitrator per batch; and (c) resolve each batch with one set of filing and administrative fees, one procedural calendar, one hearing (if any), and one final award. Claims are of a 'substantially similar nature' if they arise out of the same event or series of events or factual scenario and raise common legal issues and seek the same or similar relief. This Batch Arbitration provision does not authorize any class, collective, or representative arbitration and does not modify the Class Action Waiver in Section A.8.

A.11 Fees. Your responsibility to pay AAA filing fees and costs is solely as set forth in the applicable AAA Rules. If we initiate arbitration, we pay all filing and administrative fees. Although applicable law may give us the right to an award of attorneys' fees if we prevail, we will not seek such an award unless the arbitrator finds that the substance of your Claim or the relief you sought was frivolous or brought for an improper purpose, as measured by the standards of Federal Rule of Civil Procedure 11(b). If you need to invoke a court's authority to compel arbitration, the party obtaining such order has the right to collect reasonable costs and attorneys' fees from the other party.

A.12 Confidentiality. You and we agree that the arbitration proceeding, all materials and documents exchanged during arbitration, and any award issued by the arbitrator shall be kept confidential and not shared with anyone except the parties' attorneys, accountants, or business advisors, or as required by applicable law, subject to the condition that they agree to maintain confidentiality. This provision does not prohibit either party from filing an arbitration award in a court proceeding to confirm or challenge it, though the filing party shall take reasonable efforts to obtain a court order to seal the award.

A.13 Governing Law; FAA. This Arbitration Clause is governed by the Federal Arbitration Act (9 U.S.C. § 1 et seq.) and not by state arbitration law. The arbitrator shall abide by the Limitation of Liability provisions of this Agreement to the maximum extent permitted by applicable law.

A.14 Severability. If any portion of this Arbitration Clause is deemed unlawful, invalid, or unenforceable, it shall be severed, and the remainder of this Arbitration Clause shall be given full force and effect, except that if the Class Action Waiver in Section A.8 is held unenforceable as to a particular Claim, that Claim may proceed in court while all other Claims remain subject to arbitration.

A.15 Survival. This Arbitration Clause survives suspension, termination, or amendment of this Agreement, any bankruptcy proceeding, any transfer or assignment of the Account, and any transfer by us of receivables under this Agreement.
