VIP Referral Program

1. Programme Overview

OKX Europe Ltd ("OKX EU") is operating a limited only VIP Referral program ("Programme") for eligible VIP users on the OKX EEA platform, excluding users who are residents of Spain. Eligible VIP users ("Inviters") who introduce new users ("Invitees") to the Exchange may receive a one-time bonus reward in USDC if the Invitee achieves a qualifying VIP tier within the stipulated timeframe.

This Programme is offered on a trial basis and may be discontinued, amended, or extended at OKX EU's sole discretion at any time.The Programme is a discretionary promotional incentive, not a financial product or investment scheme.

The Programme shall run until 31 August 2026 ("Programme Period"). OKX EU retains sole discretion to extend the Programme Period, and any such extension will be communicated to Inviters in accordance with these Terms.

2. Eligibility

2.1 Inviter Eligibility

To be eligible to receive a reward, the Inviter must:

• Hold a verified and active OKX EEA account

• Have completed all applicable KYC/AML verification

• Hold VIP1 status or above at the time the Invitees achieves their VIP qualification

• Not be subject to any active fraud, abuse, wash-trading, or compliance investigation

2.2 Invitee Eligibility

To qualify as an eligible Invitee, the individual must:

• Register a new OKX EEA account on or before 31 August 2026

• Not have previously held any OKX account (including OKX EEA, OKX global, or any OKX sub-account)

• Complete Identity Verification (KYC) on the OKX EEA platform, in line with the OKX EU Terms of Service, available here: https://my.okx.com/en-eu/help/terms-of-service-eea

• Achieve VIP1 status or above within

  • 30 calendar days of account verification date if VIP by Trading Volume

  • 90 calendar days of account verification date if VIP by AUM

3. How to Participate

3.1 Referral Registration

OKX EU team will inform VIP clients about this limited VIP Referral Programme. The Programme will only be shared with a selected group of users. VIP clients will be informed through direct communication with their respective BD or RM, covering all necessary steps to participate, the Programme Terms & Conditions, and the form to submit their Invitee nominations.

To claim a reward, Inviters must complete the OKX EEA VIP Referral Registration Form ("Form") after their Invitee has registered on the platform. The Form must be submitted no later than 14 calendar days after the Invitee's signup date.

3.2 Required Information

The Form requires the following information: UID from Inviter and Invitee

3.3 Invitee Cap

Each Inviter may submit a maximum of 3 qualifying Invitee nominations during the programme period. Submissions in the Form exceeding this limit will not be eligible for rewards.

4. Reward Structure

4.1 Inviter Reward

Inviters receive a single, one-time USDC reward per qualifying Invitee, based on the highest VIP tier the Invitee achieves within the 90-day qualification window. Rewards are not cumulative.

For example, if an Invitee reaches VIP3 within 90 days, only the VIP1-3 reward (USD 1,000 equivalent) is payable, not the cumulative rewards for VIP1, VIP2, and VIP3.

4.2 Invitee Reward

Invitees receive the standard new-user Deposit Bonus available to all new OKX EEA users under the platform's general onboarding terms; this Programme does not provide Invitees with any additional or exclusive reward.

4.3 Reward Currency

All Inviter rewards are paid in USDC at the prevailing EUR/USDC spot rate at date of processing payment. OKX EEA is not liable for any change in USDC value after processing payment has been made.

5. Payment Terms

5.1 Verification Timeline

OKX EEA will review submitted Forms periodically on a bi-weekly basis during the campaign period. Verification includes, but is not limited to confirming (a) the Invitee Invitee UID and signup date, (b) confirming the VIP tier was achieved within the 30-day window of account verification date by Trading Volume or 90-day window of account verification date by AUM , (c) confirming the Inviter held VIP1 or above at the time of the Invitee's qualification, and (d) confirming the absence of wash-trading or abuse flags on either account.

5.2 Payment Timeline

Approved rewards will be credited to the Inviter's OKX EEA account within 30 calendar days of the Invitee's verified VIP qualification verification date.

5.3 Payment Method

Rewards are credited directly to the Inviter's OKX EEA account in USDC. Standard platform withdrawal conditions apply to the rewarded balance.

6. Fraud and Abuse Prevention

6.1 All reward payments are subject to a wash-trade review by OKX EEA's Risk and Compliance team before payment is released.

6.2 OKX EEA may withhold, reverse, or decline to pay a reward where it has reasonable grounds, supported by documented evidence, to believe conduct listed in this Section has occurred. Before reversing an already-paid reward via account deduction, OKX EEA will notify the affected user of the basis for the action and provide a reasonable opportunity (of no less than 10 business days) to respond before any deduction is made, save where applicable law or a regulatory obligation requires immediate action.

6.3 By submitting the Form, Inviters confirm that all information provided is accurate to the best of their knowledge and that they have obtained the Invitee's explicit consent to share their OKX EU UID with OKX EEA for the purpose of Programme verification.

7. Data Protection

7.1 OKX EU UID collected via the Form is processed by OKX Europe Ltd in accordance with its Privacy Notice (available at okx.com/en-eu/help/privacy-policy-statement) and solely for the purpose of verifying eligibility and processing rewards under this Programme.

7.2 Invitee UID will not be used for any purpose beyond Programme verification and will be retained only for as long as is necessary to fulfil Programme obligations and applicable regulatory record-keeping requirements.

8. General Terms

8.1 OKX EEA may modify, suspend, or terminate the Programme at any time. Material changes will be communicated at least 14 calendar days in advance via email or platform announcement. Any reward already accrued before such changes take effect will remain payable in accordance with these Terms as they stood at the time of qualification.

8.2 OKX EEA's decisions regarding Programme eligibility, reward approvals, and abuse determinations are made at its reasonable discretion based on the criteria of these Terms, and shall be final and binding.

8.3 The Terms of this Programme are governed by the laws of Malta. Any disputes arising under or in connection with these Terms shall be subject to the exclusive jurisdiction of the Maltese courts.

8.4 This Programme is open to eligible EEA users only, subject to any local regulatory restrictions. Participation may be limited or unavailable in certain jurisdictions.

8.5 In the event of any inconsistency between these Terms and any promotional materials or communications, these Terms shall prevail.
