Governance is the least bad answer to solving a principal agent problem.
The principal agent problem arises when you need to allocate resources contributed from many conflicted stakeholders, particularly involuntary contributions.
You can avoid governance by eliminating allocation decisions or not relying on resources from others.
Given there are several situations where resources need to be pooled, the most interesting solution is algorithmic/market driven resource allocation.
