South Africa Terms Addendum

This South Africa Terms Addendum (Addendum) supplements the OKX Terms of Service that apply to your account (Terms). It explains how OKX's services are provided to users in South Africa through the juristic representative arrangement between Aux Cayes FinTech Co. Ltd. and CurrenC Group (Pty) Ltd.

1. Application of this Addendum

This Addendum applies if you are resident in South Africa, access the services from South Africa, or your account is otherwise designated as a South African account. By continuing to access or use the Covered Services on or after the Effective Date, you agree to this Addendum together with the Terms.

Capitalised terms not defined in this Addendum have the meanings given in the Terms. If there is any conflict between this Addendum and the Terms, this Addendum prevails only in relation to the Covered Services provided to you in South Africa. All other provisions of the Terms remain in effect.

2. Service provider and regulatory status

Aux Cayes FinTech Co. Ltd., a company incorporated in Seychelles with registration number 202706 (Aux Cayes or OKX), is appointed as a juristic representative of CurrenC Group (Pty) Ltd (CurrenC), an authorised financial services provider with FSP licence number 53709 under the Financial Advisory and Intermediary Services Act 37 of 2002 (FAIS Act). Aux Cayes does not itself hold an FSCA financial services provider licence, but renders the Covered Services in South Africa under its mandate with, and the oversight of, CurrenC.

Nothing in the Terms, this Addendum, the OKX platform or any communication should be understood as stating that Aux Cayes is independently licensed, approved or endorsed by the Financial Sector Conduct Authority (FSCA).

3. Roles of Aux Cayes and CurrenC

Nothing in the Terms, this Addendum, the OKX platform or any communication should be understood as stating that Aux Cayes is independently licensed, approved or endorsed by the Financial Sector Conduct Authority (FSCA).

CurrenC. CurrenC is the authorised financial services provider under whose licence and oversight Aux Cayes renders the Covered Services in South Africa. CurrenC oversees Aux Cayes's performance of the regulated financial services falling within the juristic representative arrangement.

4. Covered Services

"Covered Services" means the following services made available by Aux Cayes to South African users under the juristic representative mandate with CurrenC found here: [to insert link to dedicated product website for SA users]. No other product or service available through the OKX platform forms part of the juristic representative arrangement unless expressly identified as such in the applicable product terms or customer-facing disclosure.

Aux Cayes does not provide financial advice under this arrangement. Any information made available through the OKX platform is general information only and does not take account of your personal circumstances, financial position or objectives.

5. Trading Arrangements

Depending on the product and execution method, Aux Cayes may act as an agent by routing your trades to related affiliates, where the trade might be matched with orders placed by other users (order book trading) or an affiliated liquidity provider acting as principal (e.g. buy/sell/convert trades). The applicable execution arrangement may be identified in the relevant product terms, order screen or other customer-facing disclosure. For all products and any trade, Aux Cayes will act as your contracting entity for the provision of the Covered Services.

Conflicts of interest. The general conflicts-of-interest disclosures in clauses 4.18 to 4.20 of the OKX Terms of Service apply to the Covered Services. Those provisions explain that OKX and its affiliated related parties may act in more than one capacity, including as agent, principal, market maker or liquidity provider; that a user’s trades may be matched or executed against an affiliated related party; and that an affiliated liquidity provider may act as the user’s trading counterparty and hold positions contrary to the user. Orders submitted and trades executed by our related affiliates are not distinguished from other trades on the OKX Platform.Aux Cayes will take appropriate steps to identify and manage any conflicts that may arise, e.g. by ensuring that the terms of any affiliates includes an obligation to achieve the best execution for you. Aux Cayes will maintain a structural separation from any affiliates, and may decline to act where the conflict cannot be appropriately managed.You understand and agree that our related affiliates may use the OKX Platform, and you agree not to object to, or otherwise bring a claim against us and our related affiliates concerning any transaction conducted by us or our related affiliates.

6.Complaints

Complaints relating to financial services provided by Aux Cayes under the juristic representative arrangement will be handled under CurrenC's complaints management framework.

Step 1 Contact Aux Cayes. Submit your complaint through https://www.okx.com/contact-us. We will acknowledge your complaint in writing as soon as possible and no later than two (2) business days after receipt. We will aim to resolve your complaint within six (6) business days after receiving complete details of the complaint. If we are unable to resolve it within fifteen (15) business days after receiving the initial complaint, we will explain the reason for the delay and tell you when the investigation is expected to be completed, which will be no later than twenty-one (21) business days after receipt of the initial complaint.

Step 2 Escalate to CurrenC. If your complaint is not resolved to your satisfaction, you may contact CurrenC through its website at www.currenc.co.za or by email at info@currenc.co.za.

Step 3 Refer the complaint to the FAIS Ombud. If your complaint remains unresolved, you may refer it to the Office of the Ombud for Financial Services Providers through www.faisombud.co.za or by email at info@faisombud.co.za.

Submitting a complaint to Aux Cayes or CurrenC does not prevent you from approaching the FAIS Ombud. Nothing in the Terms or this Addendum limits any right you may have to refer a complaint to the FAIS Ombud or another competent authority.

7. Important regulatory and risk disclosures

  • Crypto assets are not legal tender in South Africa.

  • The FSCA's authorisation of CurrenC and registration of a juristic representative do not constitute approval or endorsement of any crypto asset, product or service.

  • Crypto assets and crypto asset-related services involve significant risks, including market volatility, liquidity, technology, custody, counterparty and regulatory risks. You may lose all or part of the value of your crypto assets.

  • You are responsible for deciding whether a service is appropriate for you and should obtain independent professional advice where necessary.

8. Changes to this Addendum

Aux Cayes may amend this Addendum in accordance with the change and notice provisions in the Terms, including where required to reflect a change in applicable law, CurrenC's authorisation, the juristic representative mandate or the Covered Services. If a service is no longer permitted or available in South Africa, Aux Cayes may restrict, suspend or discontinue that service in accordance with the Terms and applicable law.
